I was not looking for it, someone sent me a job to price and they was a new client and i always ask if they dont mind telling me how they heard about me as i haev adds in different places and they said my website ..... which is how the whole thing started.

I doubt it. It would take many months of solid SEO work to get a new site ranked high enough in search results to get a significant amount of traffic for that particular company to make it worthwhile. And if they did make such a dramatic change to the site content it would undo all the previous SEO work and drop the site out of the search results.

I can't see any web-based criminal putting that much effort and risk in for such a small potential reward. Plus, if they knew anything about the web industry they'd be aware that the company would be able to complain to either the webhost or domain registrar to get the defamatory site removed very quickly.

maybe the yellow pages has gotten to provide free web ads as a matter of course, to print advertisers.

Well it sounds like you are directly benefiting from the arrangement in spite of your ignorance of the site, so maybe it's not a scam. It sounds like this yellow page outfit is adding all the local businesses to their income stream by getting indirect advert money, a few cents per hit, something like that. If you get actual business and the check comes to you then it may be worth your while to keep the arrangement since there is no redirect of websites to some porn outfit or something.
Can you link to the site yourself and check out what happens, did you already do that? That is to say, does the site link to your own phone # when you go there and such or do you find a redirect to some scam site? If not, then the site might be legit in that they are not after money from you directly, but maybe from some indirect money stream. Of course if you contacted them and they actually admitted that you might pressure them to give you half of the stream or something or just take them off their site if you don't want to do business that way. But if you keep getting genuine business with real paying customers it might be worthwhile to not demand they pull down the link. It would presumably have been business you would not have gotten without that link so you might want to consider that aspect of it.

It has been resolved, it was the yellow pages i had paid for an add with them for a 4 year contract, and they have given me a free website for the contract. But they have changed my number slightly so when someone phones it still goes to my office but through the yellow pages first, maybe they make some money... or just track the amount of calls im not sure. But at least its sorted now

You might want to actually read the contract or is it filed in the glove compartment of your van?
